Overview

AmTrust is looking for an attorney to join its Corporate Law Department. This person will be instrumental in drafting, reviewing and/or negotiating a wide variety of vendor agreements including technology, licensing, software and other commercial vendor agreements and transaction structure-related documents, and collaborating on artificial intelligence, data governance and privacy issues, and related best practices, for all AmTrust business segments. This person will also understand and honor AmTrust’s mission, vision, and core values. This role will report to: SVP, Senior Managing Counsel, in Cleveland, Ohio.

Responsibilities

  • Draft, review, negotiate and advise on a wide variety of complex technology-related vendor master services agreements, SOWS and addenda, including but not limited to software licenses, SaaS/ASP, market data licenses, API integrations, e-commerce and online trading platform agreements, telecommunications, hardware and maintenance agreements, software development, outsourcing (ITO and BPO) and cloud services agreements.
  • Draft, review, negotiate and advise on a wide variety of other non-technology vendor master services agreements, consulting agreements, facilities agreements, staffing agreements, non-disclosure agreements, SOWs, addenda and other commercial vendor agreements for all of AmTrust’s business segments including Underwriting, Marketing and Communications, Human Resources, Claims, Legal, and Specialty Risk business segments.
  • Provide guidance on and revise model agreements and addenda, contract playbooks and clause libraries to provide a best-in-class, efficient contracting process and provide training on model documents and critical legal concepts to various stakeholders.
  • Work with AmTrust’s Procurement team to manage and track existing contracts and contract renewal processes and negotiate commercial vendor disputes.
  • Assist with due diligence on vendor contract components of M&A transactions, including negotiating transition services agreements.
  • Provide licensing, technology, contractual and other commercial legal advice and counsel to internal clients.
  • Assist with contract management, including providing advice on the design of workflows and templates in AmTrust’s contract management system, ensuring contract repository standards are maintained, working with business users and Procurement to improve the system (system training will be provided).
  • Perform other functionally related duties as assigned.

Qualifications

  • Juris Doctorate from a nationally recognized law school;
  • No less than three years of applicable experience in drafting commercial contracts at a law firm or in-house law department;
  • Ability to work in a fast-paced environment and prioritize a large workload;
  • Sound business judgment and ability to think strategically;
  • Relevant certifications considered a plus;
  • Capacity to work independently and take initiative;
  • Ability to work and think cross-functionally, including with IT, Operations, Compliance, Procurement, and business stakeholders:
  • Excellent team player and partner to legal and business colleagues;
  • Excellent written and verbal communication skills – with a focus on being able to deliver advice, recommendations and options to executives, senior management, and businesses in a concise manner;
  • Willingness to use legal technology tools to perform duties;
  • Open to occasional travel;
  • Admitted to practice law in at least one U.S. state and in good standing in all jurisdictions in which you are licensed to practice; and
  • Familiarity with insurance regulations, financial services industry, and intellectual property considered a plus.
